§ 1 Scope and customers

(1) These general terms and conditions (GTC) apply to all contracts concluded via the online shop prplab.de between prpmed Funkner e.K. (hereinafter "we") and its customers.

(2) Our offer is directed exclusively at businesses within the meaning of § 14 BGB (German Civil Code), i.e. natural or legal persons or partnerships with legal capacity who, when concluding the legal transaction, act in the exercise of their commercial or independent professional activity.

(3) We do not conclude contracts with consumers within the meaning of § 13 BGB. Before completing the order, the customer expressly confirms in the cart that they are acting as a business.

(4) Deviating, conflicting or supplementary terms and conditions of the customer only become part of the contract if we have expressly agreed to their validity in writing.

§ 3 Subject matter of the contract and use

(1) The subject matter of the contracts is the sale of medical devices, in vitro diagnostic medical devices, laboratory equipment, practice supplies and accessories via our online shop.

(2) Our products are intended for use by competent and appropriately qualified users. The customer observes the intended purpose, the instructions for use and the manufacturer's information on their own responsibility.

(3) If the customer becomes aware of an incident, a complaint or a suspicion that a medical device supplied by us does not meet the requirements, they will inform us without delay. In the event of recalls and other field safety corrective actions, they will cooperate to the extent necessary. The customer's statutory reporting obligations as a user remain unaffected.

§ 4 Conclusion of contract

(1) The presentation of products in the online shop does not constitute a legally binding offer, but a non-binding invitation to place an order.

(2) By submitting the order, the customer makes a binding offer to conclude a purchase contract.

(3) After submitting the order, the customer receives an automatic email confirming receipt of the order and containing the order details. This acknowledgement of receipt does not yet constitute acceptance of the offer.

(4) The contract is only concluded upon our acceptance in text form, in particular by an order confirmation by email, or upon delivery of the goods.

(5) We may reject orders in individual cases, in particular if there are indications that the purchaser is not acting as a business or that product-specific requirements are not met.

(6) Before submitting the order, the customer can check and correct their entries at any time: change or remove products and quantities in the cart, and correct billing, delivery, shipping and payment details in the ordering process using the edit links or the browser's back function.

(7) We store the text of the contract. The customer receives the order details with the acknowledgement of receipt; these GTC can be accessed at any time on prplab.de and can be printed or saved.

(8) The language of the contract is German.

§ 5 Customer information

(1) When ordering, the customer provides accurate and complete information about their identity, their company or institution and their billing address. On request, they provide proof of their business status, for example by means of a trade or professional certificate or their VAT ID.

(2) If it subsequently emerges that the requirements for delivery are not met, we are entitled to cancel the order.

§ 6 Prices and payment

(1) The prices stated in the online shop at the time of the order apply.

(2) All prices are in euros including statutory VAT. VAT is shown separately on the invoice.

(3) Shipping costs are charged separately. They are set out in our shipping policy and are displayed in the ordering process.

(4) The available payment methods are displayed in the ordering process. The purchase price is due upon conclusion of the contract, unless otherwise agreed.

(5) The customer may only set off claims that are undisputed or have been finally established by a court.

§ 7 Delivery and transfer of risk

(1) We deliver to the delivery address specified by the customer. Delivery areas, delivery times and shipping costs are set out in the shipping policy and in the information provided in the ordering process.

(2) Partial deliveries are permitted insofar as they are reasonable for the customer. We bear any additional shipping costs incurred as a result.

(3) Deliveries are only made insofar as there are no legal, regulatory or transport-related obstacles.

(4) The risk passes to the customer when the goods are handed over to the carrier. The customer reports transport damage without delay; we support them in handling the claim with the shipping service provider.

§ 8 Retention of title

The goods remain our property until all claims arising from the business relationship have been paid in full.

§ 9 Rights in the event of defects

(1) The statutory rights in the event of defects apply unless otherwise provided below.

(2) The respective product description is decisive for the quality of the goods.

(3) The customer inspects the goods immediately upon receipt and reports obvious defects without delay. For merchants, § 377 HGB also applies.

(4) In the case of justified defects, we will, at our discretion, carry out a repair or deliver a replacement. If subsequent performance fails, the customer may withdraw from the contract or reduce the purchase price in accordance with the statutory provisions. § 11 applies to claims for damages.

(5) The limitation period for claims for defects is one year from delivery of the goods. This does not apply to claims for damages under § 11(1), in the case of fraudulent concealment of a defect, or to recourse claims under § 445b BGB.

§ 10 Voluntary right of withdrawal and returns

(1) As our offer is directed exclusively at businesses, there is no statutory right of withdrawal under §§ 312g, 355 BGB.

(2) We voluntarily grant the customer a contractual right of withdrawal. The customer may withdraw from the contract in whole or in part within 14 days of receipt of the goods. Withdrawal is declared via the withdrawal button in the online shop or in text form to kontakt@prplab.de; no reason is required.

(3) The right of withdrawal under paragraph 2 only applies to goods that are unopened, unused, complete and resaleable and are in undamaged original packaging with an intact seal. The following are excluded in particular:

  • sterile products and medical devices whose packaging or seal has been opened,
  • opened in vitro diagnostic devices and sample tubes,
  • devices that have already been put into operation,
  • goods procured specifically at the customer's request.

(4) The customer returns the goods within 14 days of declaring withdrawal and bears the costs of return shipping. We refund the purchase price of the returned goods within 14 days of receipt and inspection via the original means of payment. Original shipping costs are not refunded. Goods that do not meet the requirements of paragraph 3 will be returned at the customer's expense.

(5) Returns outside these conditions are only possible with prior consent in individual cases as a goodwill gesture. There is no entitlement to this.

(6) The rights in the event of defects under § 9 remain unaffected. We explain the procedure under Right of withdrawal.

§ 11 Liability

(1) We are liable without limitation for intent and gross negligence, for damage resulting from injury to life, body or health, under the German Product Liability Act and to the extent of any guarantee assumed.

(2) In the event of a slightly negligent breach of material contractual obligations, our liability is limited to the foreseeable damage typical for the contract. Material contractual obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance the customer may regularly rely.

(3) Otherwise, liability for slight negligence is excluded.

(4) The above provisions also apply in favour of our legal representatives and vicarious agents.

§ 12 Choice of law and place of jurisdiction

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from the contractual relationship is our registered office in Linden. We are also entitled to sue the customer at their general place of jurisdiction.

§ 13 Final provisions

Should individual provisions of these GTC be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.
